INDIGENOUS PEOPLES POLICY

PURPOSE

Marteq Energy is committed to respecting the rights of Indigenous peoples, in line with the United Nations Declaration on the Rights of Indigenous Peoples. As part of its Communities, Marteq Energy has committed to going beyond ‘business as usual’ to embed reconciliation in the delivery of core business practices and decision making at the highest level. Through the successful implementation of this policy, Marteq Energy aims to continue to build relationships with our peoples, clients and communities that are founded on mutual respect and understanding. We aim to be the partner of choice for Indigenous organisations, communities and businesses and an employer strives to be of choice for Aboriginal and Torres Strait Islander Peoples.

ACKNOWLEDGEMENT OF COUNTRY

At Marteq Energy, we recognize Aboriginal and Torres Strait Islander peoples as the First Peoples of this land. We recognise that Aboriginal and Torres Strait Islander people’s history and cultures are the foundation of Australia’s collective history and culture. We acknowledge Elders past, present and emerging as the Traditional Custodians of the land on which we live and work. We celebrate that we live in the country with the world’s oldest continuous living cultures. We acknowledge and respect that Indigenous peoples maintain a distinctive cultural, spiritual, physical and economic relationship with their land and water. As such, we take our obligations to the land and environments in which we operate seriously.

SCOPE

The scope of this policy is relevant for Marteq Energy and any reference to Marteq Energy from here on is taken to mean Marteq Energy Australia. It applies to all people employed by Marteq Energy and it is each individual person’s responsibility to adhere to this policy. Any reference to Indigenous peoples is taken to mean Aboriginal and Torres Strait Islander peoples. This policy is called the ‘Indigenous Peoples Policy’ to remain consistent with terminology used in the United Nations Declaration on the Rights of Indigenous Peoples and relevant guides. This policy sets out the specific focus areas of Marteq Energy’s strategy to recognise, protect and respect the rights of Aboriginal and Torres Strait Islander peoples, both within and outside of our organisation.

In all Marteq Energy’s operations, including supply chain, we endeavour to respect the rights of Indigenous peoples to maintain and strengthen their institutions, cultures, communities and traditions, and to pursue their development in keeping with their needs and aspirations.

OUR APPROACH AND PRINCIPLES:

This Policy Statement outlines a consistent global approach to engaging and partnering with Indigenous Peoples across the entire lifecycle of our activities including exploration, closure and post closure. Our approach is founded in a deep respect for the distinct cultures, rights, perspectives and aspirations of Indigenous Peoples. It is intended that these consultations will be co-designed, culturally appropriate, inclusive and carried out through the procedures and governance structures of potentially affected Indigenous Peoples. In jurisdictions where consultation is carried out by governments, we will seek to implement the appropriate mechanisms to align consultation with this Principle.

Incorporate Indigenous perspectives

We will seek out Indigenous voices, values, knowledge and perspectives in the way we work. We will connect with Indigenous Peoples to better appreciate the historical, legal, social, environmental, cultural and political landscape where we operate or seek to operate, and how to better manage the environment we share.

We will establish formal opportunities for Indigenous Peoples to advice on policies and processes to combat racism and prejudice, eliminate discrimination and promote respect and understanding in our workforce.

Free, Prior and Informed Consent (FPIC)

We respect Indigenous Peoples’ right to consultation and recognise FPIC as an important process to safeguard the collective rights of Indigenous Peoples. We will carry out informed and good faith consultations with potentially affected Indigenous Peoples for proposed new operations or capital projects.

Specific Indigenous Peoples Plans will be co-designed with relevant Indigenous Peoples in each region where we operate and will be collectively reviewed and reported on annually.

We will actively seek to enhance governance and engagement processes that relate to Indigenous Peoples, and to influence operator companies to adopt standards and practices that align with the intent of this Policy Statement.

This policy establishes Marteq Energy’s sustainability commitment and objectives across the elements of environment, social and governance (ESG). We recognize that every decision and action we take is an opportunity to create a positive lasting legacy for people and the planet.

OUR OBJECTIVE

We strive for continuous improvement of ESG outcomes in all aspects of our work and decision-making to create value and sustain positive outcomes for stakeholders, including through the following objectives:

• Reduce our consumption of resources (energy, water and materials) and Greenhouse Gas (GHG) emissions towards delivering net zero
• Embed climate risk and resilience considerations in our activities
• Increase the re-use and recycling of materials to reduce disposal to landfill as applicable
• Build a mentally healthy workplace through the execution of our mental health plan to support our people to stay fit, healthy and resilient

This policy will develop a resilient supply chain where our suppliers, including Clients, contractors and partners, are treated fairly, operate with shared values and deliver real benefits to our employees and clients to help us become a more sustainable business.

OUR COMMITMENT

Marteq Energy is committed to maintaining our reputation as a sustainable and socially responsible business by working with a supply chain that has similar values, forming resilient, mutually beneficial, long-term, and trust-based relationships.

We seek to:

• Use innovative methods to procure goods and services sustainably, ethically, at the optimum value and required quality, with deliveries to us made in a timely manner.
• Act with integrity and respect and require our suppliers to behave in the same way with their employees and supply chains.
• Evaluate the business ethics, values and behaviours of existing and potential contractors, suppliers, and business partners.
• Treat our supply chain fairly and consistently and pay them in line with our contract, providing open and honest feedback on their performance.

RESPONSIBILITY

It is our responsibility to comply with international best practice, legislation, codes of practice and standards, as well as appropriate client-specific requirements in every country in which we work.

We undertake appropriate due diligence in evaluating the risk associated with each procurement activity prior to formalizing relationships with contractors, suppliers, and business partners.

Our supply chain partners are required to:

APPROACH

We use our procurement processes to explore market opportunities, assess risk and deliver value for money.

In doing so, we aim to:

• Generate benefits for the Marteq, its stakeholders, clients, and society in general, while minimizing any negative impact on the environment.
• Procure sustainable goods that offer best value and support us in our aim to comply with the AUS’s sustainable development goals.

We will withdraw from existing arrangements in the event of a breach of these commitments or any unethical business practices becoming apparent.

This policy sets out the values and principles which underpin the way in which we deliver our projects, engage with local communities, procure services and support our staff. It communicates to our employees, partners and clients how we conduct our business operations responsibly and strive to maximize positive social and environmental impacts in everything that we do.

OUR COMMITMENT

We promote a strong culture of social responsibility, encompassing ethical values, equality, wellbeing, sustainable development, environmental protection, prudent use of natural resources and economic advancement.

We support the increasing emphasis our clients place on social value, responsibility and community benefits and we will work with them to deliver more inclusive social outcomes.

RESPONSIBILITY

A President is responsible for promoting and monitoring our social responsibility policy.

We have dedicated corporate social responsibility (CSR) committees representing staff from our four geographical regions and we have a global CSR Strategy which sets out our priority projects and how we support the passions of our people.

Our employees are aware of, and share in, our commitment to promoting social responsibility. Everyone needs to be mindful of the impact of their actions on colleagues, clients and society as a whole.

APPROACH

We scrutinize our infrastructure and international development projects for their potential impact on the environment, society, culture and economies.

• We prioritize engagement with local organizations and stakeholders when we deliver our projects to help us align our approach with community needs.

PURPOSE

This policy sets out our commitment to behaving ethically and maintaining the highest standards of integrity in the conduct of our business.

OUR COMMITMENT

We are committed to business practices that are responsible, fair and promote the highest standards of integrity. To achieve this we comply with all legal and regulatory requirements and respect the customs and cultures of the countries we operate in.

We are committed to countering all forms of bribery and corruption and prohibit the, giving or receiving of bribes, including facilitation payments and gifts or hospitality that may improperly influence business decisions. We work to continually improve our anti-bribery systems and practices.

We prohibit the payment of donations to political parties or charities to obtain a business advantage.

We respect and abide by national and international trade laws, including economic sanctions, anti-boycott provisions and import and export controls.

We compete fairly, respecting the laws and ethical practices of the jurisdictions in which we work.

Adhering to this policy is a condition of employment and breaches will result in disciplinary action.

We recognize that our clients, suppliers and partners are essential to the long-term success, resilience and sustainability of our business. We are therefore committed to working only with those who operate in a way that is consistent with Our Code and PRIDE values and can meet the standards set out in this policy.

RESPONSIBILITY

The Marteq ethics and compliance officer shall have the authority and independence to design systems and frameworks to implement this policy. The Marteq ethics and compliance officer shall provide guidance and advice on issues within the scope of this policy and report on performance to the Management.

APPROACH

Our relationships with suppliers, subcontractors and other business partners are based on mutual respect and good governance

We are committed to making our communications, marketing and publications factually correct, ethical and fair. We compete vigorously but do not seek to misrepresent our competitors.

RISK MANAGEMENT POLICY

SCOPE

This policy applies to all employees and third parties engaged by Marteq Energy, and/or entities under Marteq Energy’s operational control, including alliances and joint ventures. This policy is made readily available to all stakeholders

PURPOSE

This policy establishes MARTEQ ENERGY’s approach to Enterprise Risk Management (ERM). It requires that the Marteq takes on an appropriate level of risk commensurate with business growth and profitability goals. The Marteq ERM programme includes a format to identify Principal Risks in four risk categories, identify measures of risk for each principal risk, set appetites for risk for each principal risk, create a framework for risk data collection and escalation when risk appetites are exceeded, and communicate the above throughout the regions, units and divisions.

• Safeguard its staff and assets.
• Safeguard the interests of its clients.
• Strike the appropriate balance between risk and reward with the aim of improving business performance.

RESPONSIBILITY

The Marteq Energy risk principal is responsible for providing a framework for implementing this policy and for monitoring, reviewing and reporting on its effectiveness. The President is responsible for the execution and management of the ERM Programme and providing a framework for implementing this policy.

Project Manager is responsible for implementing this policy and for requiring that adequate risk treatments are developed and implemented in their regions

APPROACH

Business risks are identified and assessed at Group, unit and project level.

Risk and opportunity management strategies are planned and implemented based on the level of risk.

Data collection, analysis, review, feedback and learning enable us to continually improve the way we manage risk, in order to meet the needs of our business, our staff and our clients.

The Marteq Energy issues guidance and promotes best practice on risk management through its intranet.

Information and training are provided to all staff, enabling them to comply with this policy.

ETHICS POLICY

SCOPE

This policy applies to all employees and third parties engaged by Marteq Energy, and/or entities under Marteq Energy’s operational control, including alliances and joint ventures. This policy is made readily available to all stakeholders

PURPOSE

The policy of Marteq Energy is to comply with all governmental laws, rules and regulations applicable to its business.

The Ethics policy does not stop there. Even where the law is permissive, the Corporation chooses the course of highest integrity. Local customs, traditions and mores differ from place to place, and this must be recognized. But honesty is not subject to criticism in any culture. Shades of dishonesty simply invite demoralizing and reprehensible judgments. A well-founded reputation for scrupulous dealing is itself a priceless corporate asset.

OUR COMMITMENT

The Corporation cares how results are obtained, not just that they are obtained. Directors, officers and employees should deal fairly with each other and with the suppliers, customers, competitors and other third parties.

The management expects compliance with its standard of integrity throughout the organization and will not tolerate employees who achieve results at the cost of violation of law or who deal unscrupulously. The Management's directors and officers support, and expect the Corporation's employees to support, any employee who passes up an opportunity or advantage that would sacrifice ethical standards

The Management expects candor from employees at all levels and adherence to its policies and internal controls. One harm which results when employees conceal information from higher management or the auditors is that other employees think they are being given a signal that the Management's policies and internal controls can be ignored when they are inconvenient. That can result in corruption and demoralization of an organization. The Management's system of management will not work without honesty, including honest bookkeeping, honest budget proposals and honest economic evaluation of projects.

It is the management's policy to make full, fair, accurate, timely and understandable disclosure in reports and documents that the Corporation files with the Securities and Exchange Commission, and in other public communications. All employees are responsible for reporting material information known to them to higher management so that the information will be available to senior executives responsible for making disclosure decisions.

HUMAN RIGHTS POLICY

SCOPE

PURPOSE

MARTEQ ENERGY's approach to human rights is based on the AUS Guiding Principles on Business and Human Rights and the recognition that while states have a duty to protect human rights, companies have a responsibility to respect the same. Our policy is built on our Human Rights Statement below and applies to all entities within the MARTEQ ENERGY.

OUR COMMITMENT

Respecting human rights is a fundamental part of MARTEQ ENERGY’s responsibility as a company and is vital to operate our business sustainably. MARTEQ ENERGY is committed to respecting fundamental human rights in our operations, our value chain, and in the communities where we operate. We seek to avoid complicity in human rights abuses and to use our influence to promote the fulfillment of human rights.

Our commitment to operating with respect for human rights is reflected in all aspects of MARTEQ ENERGY’s business operations and is integrated in our company policies and relevant procedures. We aim to identify, assess, and manage the human rights impacts of our business activities based on the operational context, our leverage and business relationships.

MARTEQ ENERGY looks to those human rights defined in the Universal Declaration of Human Rights and its two corresponding covenants, The International Covenant on Civil and Political Rights and The International Covenant on Economic, Social and Cultural Rights. Additionally, we also look to children’s and women’s rights as outlined in the Australia Convention on the Rights of the Child and the Australia Convention on the Elimination of Discrimination against Women.

MARTEQ ENERGY’s approach to its business operations is informed by the ILO International Labour Organizations’ Declaration on Fundamental Principles and Rights at Work, The Children’s Rights and Business Principles, the OECD Guidelines for Multinational Enterprises and the Australia Compact, to which we are signatories.

PRIORITIES

MARTEQ ENERGY strives to prioritize the management of the human rights impacts of our business activities based on the operational context, our leverage and business relationships. As a result, we concentrate on our own operations and suppliers, although we aim to also prevent and mitigate adverse human rights impacts in the whole value chain. Due to the nature of our business we are focusing our efforts on human rights related to labour conditions. We also focus on women’s rights and the right to water, as these are areas of specific importance to our industry. MARTEQ ENERGY does, however, recognize that other human rights may become greater priorities over time and we will regularly review our focus areas.

COMMUNICATION AND TRAINING

Our performance is communicated and reported transparently in our annual sustainability report. Training and awareness raising on prioritized human rights, as outlined above, is continuously developed and integrated into our training plan and should be implemented in relevant training programs for employees as well as for our suppliers. When implementing this policy, relevant training on human rights related issues and due diligence will be provided for the relevant functions

IMPLEMENTATION

Our commitment to operating with respect for human rights is reflected in company policies and procedures. In order to integrate human rights considerations into the management of our business, human rights due diligence is part of our risk assessment for new production and sales markets. For existing production and sales markets, MARTEQ ENERGY will regularly evaluate human rights related risks and conduct human rights impact assessments on high-risk markets. Risk and impact assessments are used for identifying actual and potential human rights impacts from our business activities, which are then managed by the relevant business functions. In addition, MARTEQ ENERGY works broadly to promote respect for human rights through public policy, stakeholder dialogues, advocacy, collaborations, and participation in various forums.

ANTI-BRIBERY AND CORRUPTION POLICY

SCOPE

This policy applies to all employees and third parties engaged by Marteq Energy, and/or entities under Marteq Energy’s operational control, including alliances and joint ventures. This policy is made readily available to all stakeholders

PURPOSE

The purpose of this Policy is to establish controls to ensure compliance by the Company and its related bodies corporate (Group Members) with all applicable anti-bribery and corruption laws and to ensure that the Company and the Group Members conduct its business within the scope of the Company’s core values and commitments with honesty and integrity and in a socially responsible manner.

The Company and the Group Members have a “zero tolerance” approach to acts of bribery and corruption by any of our officers, employees, contractors and consultants. As well as being morally wrong and harmful to the reputations of the Company and the Group Members (as applicable), bribery and corruption are criminal offences that expose the Company and the Group Members and individuals to the risk of prosecution, fines and imprisonment.

This Policy sets out the requirements of the Company and the Group Members regarding the management of gifts and benefits. Officers, employees, contractors and consultants of the Company and Group Members must not give or accept gifts and benefits that will compromise, or appear to compromise, their integrity and objectivity in performing their duties, or cause, or appear to cause a conflict of interest.

This Policy applies globally. Officers, employees, contractors and consultants of the Company and the Group Members are advised that the Australian Criminal Code, the US Foreign Corrupt Practices Act and the UK Bribery Act have extra-territorial reach. As such, for example, an Australian citizen may be prosecuted under the Australian Criminal Code Act 1995 (Cth) (Code) for a violation of the Code that occurs outside of Australia.

Any breach of this Policy may result in disciplinary action, including termination of employment or contract. If the matter involves a breach of law or other regulation, the matter may also be referred to an appropriate law enforcement authority.

This Policy should be read together with the Whistleblower Policy.

DEFINITION

General terms and abbreviations used in this Policy have the meanings set out below:

Board means the board of directors of the Company.

President means the Company’s President.

Company means Marteq Energy Pty Ltd ABN 74642965160

Group Members has the meaning set out in section 1.

Policy means this anti-bribery and corruption policy.

Secretary means the secretary of the Company.

Whistleblower Policy means the Company’s whistleblower policy.

Training and Employee Development Policy

Introduction

The most important asset of our company is our human capital. Investing in the training and development of our employees, managers and groups within the company contributes not only to them, but also to Marteq Energy as a whole. By providing our employees and managers with learning and development activities, we enable the company to achieve its business targets, and the people to constantly grow professionally.

Scope: This Policy applies to all Marteq Energy managers, full time and part time employees.

Policy Objectives

Training and development of our employees has a strategic role in our company:

• Attracting and retaining talents– We believe that learning and developing contributes for attracting new talents as well as retaining our existing talents.
• Developing our personnel’s capabilities– We believe that human capital requires ongoing investment in training and development in order to retain its value. Investing in developing our personnel brings us an impressive return.
• Creating a value-based culture– We believe that training and development help us instill our culture and values. Improving our reputation as an employer – We believe that our reputation is also enhanced by the investment we make in our employees.
• Motivating our employees to engage – We believe that by providing our employees with opportunities to learn and develop new competencies within their career path, we encourage them to engage with our company as they are more satisfied and challenged at work.

Policy Statement

Marteq Energy recognizes our success centers upon the success of our people. The capabilities of our workforce are critical in ensuring we continue to meet our vision and mission. Our aim is to ensure the personal / professional development of our people to meet current and future organization needs. As part of the Performance, Development and Review process, employees and managers will have the opportunity to identify capability development required for their roles and professional growth needs / interests on a continuous basis

• meet the challenges of a highly dynamic work environment;

• mitigate business continuity risks by having a pool of skilled internal candidates for promotion

Marteq Energy believes in a partnership approach between People & Performance and line managers for the delivery of learning. As a result, Marteq Energy framework is built upon how individuals internalize and apply what they learn based on how they acquire the knowledge through the 70/20/10 formula that describes how learning occurs:

• 70% from real life and on-the-job experiences, tasks and problem solving.
• 20% from feedback and from observing and working with role models; and
• 10% from formal training.

With this in mind, Marteq Energy is committed to providing access to education and training for people managers to equip them to meet their obligations in respect of development planning for their direct reports.

Roles and Responsibilities

The Head of People and Performance is responsible for establishing a framework to support regular review, communication and reinforcement of this policy.

Managers are responsible for:

• Supporting and encouraging employees to put in place and act on individual Development Plans;
• Identifying capability gaps in individuals and working with them and/or Learning & Development to implement solutions;
• Managing resources accordingly to allow individuals to undertake necessary development;
• Ensuring that development outcomes are achieved and that there is an appropriate return on the
• Development investment evident in on-the-job contribution and performance.

In addition to the responsibilities exercised by managers, employees are responsible for:

• Considering their own development needs and putting in place an individual Development Plan;
• Attending necessary training or undertaking any identified development;
• Managing their role to ensure business continuity during any absences for training
• Applying the development, they have undertaken when they are back on the job

Accountability for implementation and review of the Marteq Energy Training & Employee Development Policy sits with the Head of People & Performance.

Responsibility for performance is delegated to the People & Performance Team in partnership with line management, with oversight from the Board. Key performance indicators relating to Training & Employee Development form part of the Marteq Energy and the People & Performance Support.

DATA PROTECTION POLICY

Introduction

In its everyday business operations Marteq Energy makes use of a variety of data about identifiable individuals, including data about:

• Current, past and prospective employees
• Customers
• Users of its websites
• Subscribers

In collecting and using this data, the organisation is subject to a variety of legislation controlling how such activities may be carried out and the safeguards that must be put in place to protect it.

The purpose of this policy is to set out the relevant legislation and to describe the steps Marteq Energy is taking to ensure that it complies with it.

This control applies to all systems, people and processes that constitute the organization’s information systems, including board members, directors, employees, suppliers and other third parties who have access to Marteq Energy systems.

We respect every person’s privacy and comply with all relevant laws in the collection, use and protection of personal information in connection with our business.

When we work with others who may see or process our data – from business partners to suppliers, to customers – we make clear how important privacy is to us and the standards they must meet to work with us. We only collect and handle personal information when needed, and only for legitimate business purposes.

We invest in our information systems and technology infrastructure and teams to advance our digital agenda while also safeguarding our assets. Key measures include:

• Enhancing key cyber controls, including prevention, detection, response and recovery
• Improving cyber security standards, and enhancing monitoring and compliance
• Improving IT asset management with executive level sponsorship and oversight from.
• We invest in our information systems and technology infrastructure and teams to advance our digital agenda while also safeguarding our assets. Key measures include:

Strengthening our resilience

Our businesses are required to maintain business resilience management plans to support major incident response and recovery, including cyber security events. We also have a dedicated business resilience management plan for our Information Services and Technology function, which is tested annually.

MODERN SLAVERY POLICY

Marteq Energy Pty Ltd (“MEPL” or the “Company”) by all labour laws and prohibits modern slavery in all its forms. We require that our suppliers and sub-suppliers do the same and we commit to developing our ability to identify modern slavery risks in our operations and supply chains. MEPL’s policies recognize the Company’s commitment to reducing the risk of modern slavery in our operations. Policies including the Code of Conduct, Diversity and Inclusion, Anti-bribery and Anticorruption, Whistleblower, and Health and Wellbeing reduce the risk of modern slavery in our operations. Modern slavery means conduct that would constitute an offence under Australian Commonwealth Law, of slavery, servitude, forced labour, forced marriage, debt bondage, people trafficking, organ trafficking or harbouring a victim. This also includes the worst form of child labour (where children are subject to slavery or similar practices or are engaged in hazardous work).

The term Modern Slavery is used to describe situations where coercion, threats or deception are used to exploit people and undermine or deprive them of their freedom. Modern Slavery describes serious exploitation of people. It does not include practices like substandard-working conditions or underpayment of workers. These practices are also illegal and harmful and may be present in some occurrences of Modern Slavery. These practices may escalate into Modern Slavery if not addressed. The Australian Modern Slavery Act 2021 (the Act), defines Modern Slavery as including eight types of serious exploitation:

• Trafficking in persons
• Slavery
• Servitude
• Forced marriage
• Forced labour
• Debt bondage
• Deceptive recruiting for labour or services
• The worst forms of child labour.

About this Statement

In view of requirements of the Australian Modern Slavery Act 2021 (the Act), Marteq Energy must establish a Modern Slavery Statement, annually and describe its actions to assess and address Modern Slavery risks. This Modern Slavery Statement:

• addresses the mandatory criteria prescribed by the Act
• is approved and signed by a Management Team of Marteq Energy
• is provided to the Commonwealth Government
• considers learnings and continual improvements in future Modern Slavery Statements.
